IMPORTANT LEGAL NOTICE

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE CREATING AN ACCOUNT OR USING THE SERVICE. BY CHECKING THE AGREEMENT BOX DURING REGISTRATION OR BY DOWNLOADING, ACCESSING, OR USING TALK2ME, YOU AGREE TO BE BOUND BY THIS UNIFIED AGREEMENT. THIS DOCUMENT CONTAINS A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER.

1. DEFINITIONS & UNIFIED SCOPE OF AGREEMENT

This agreement is a single, unified legal contract combining the Terms of Service (governing service access, account usage, subscriptions, and platform functionality) and the End User License Agreement (governing the downloadable software application). It is entered into by and between you ("Subscriber", "User", or "you") and Smartline Automation LLC ("Company," "talk2me," "we," "us," or "our").

You acknowledge that this Agreement is concluded between you and Smartline Automation LLC only, and not with Apple, Inc. ("Apple") or Google LLC ("Google"). Smartline Automation LLC is solely responsible for the talk2me software application and backend platform.

2. GRANT OF LICENSE & APP STORE PROVISIONS (EULA)

We grant you a limited, non-exclusive, non-transferable, revocable license to install and execute the talk2me mobile application on authorized devices solely for your personal or internal business operations.

  • Prohibitions: You shall not reverse engineer, decompile, disassemble, modify, create derivative works of, white-label without written authorization, rent, lease, resell, or distribute the application source code or underlying API integrations.
  • App Store Terms: Apple and Google have no obligation whatsoever to furnish maintenance or support services for the app. Smartline Automation LLC, not Apple/Google, is responsible for addressing any product liability claims, regulatory non-compliance, or third-party intellectual property infringement claims.

3. DESCRIPTION OF SERVICE, INTEGRATIONS & THIRD-PARTY INFRASTRUCTURE

talk2me provides an automated AI-driven inbound call handling, virtual receptionist, multi-line call routing, voice/text workflows, transcription, and scheduling system.

  • Third-Party Infrastructure: The Service relies on third-party telecommunications infrastructure and AI execution platforms (including Twilio for telephony, Vapi for voice execution, Resend, OpenAI/LLMs, and cloud hosting vendors). Smartline Automation LLC is not liable for carrier call drops, API latency, third-party outages, or service interruptions originating from these underlying vendors.
  • Google API & CRM Data Integration: Our use and transfer to any other app of information received from Google APIs or third-party CRM systems will adhere to the Google API Services User Data Policy (including Limited Use requirements). By connecting CRM or external business data, you grant Smartline Automation LLC a non-exclusive, worldwide right to process such data solely to provide, customize, and train your AI Receptionist instance.

4. TELEPHONY, SMS, WIRETAPPING & 911 EMERGENCY DISCLAIMERS

  • Statutory Compliance: You mandate full compliance with all applicable federal, state, and international communication laws, including the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CTIA guidelines, and caller ID spoofing regulations.
  • State Wiretapping Consent Laws: The Service creates audio recordings and text transcripts of incoming calls. YOU ARE SOLELY RESPONSIBLE FOR OBTAINING EXPLICIT LEGAL CONSENT FROM CALLERS OR CONTACTS IN ACCORDANCE WITH ALL-PARTY AND TWO-PARTY STATE WIRETAPPING AND PRIVACY LAWS (INCLUDING CALIFORNIA, FLORIDA, PENNSYLVANIA, AND OTHER JURISDICTIONS).
  • Mandatory Initial Disclosure: You agree to maintain an automated initial call greeting (e.g., "This call is answered by an AI assistant and may be recorded for quality and scheduling purposes") at the onset of all calls to secure valid legal consent from callers.
  • SMS Features & Opt-Out Protocols: When utilizing automated SMS messaging features, you are solely responsible for ensuring appropriate opt-in consent is obtained from recipients. The Service provides features to process and log STOP/UNSUBSCRIBE commands; you agree to maintain accurate consent records and honor recipient opt-outs immediately.
  • PROHIBITION OF 911 & EMERGENCY SERVICES: THE SERVICE IS NOT A REPLACEMENT FOR TRADITIONAL TELEPHONE SERVICES AND CANNOT BE USED FOR EMERGENCY CALLS. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT TALK2ME DOES NOT SUPPORT, ROUTE, OR DISPATCH 911, EMERGENCY SERVICES, MEDICAL DISPATCH, FIRE, OR POLICE ASSISTANCE. YOU MUST ENSURE THAT ALTERNATIVE MEANS OF REACHING EMERGENCY SERVICES ARE AVAILABLE TO YOUR CALLERS.
  • Prohibited Activity: You strictly agree NOT to use talk2me for unsolicited cold-calling, deceptive caller ID spoofing, harassment, spamming, fraudulent voice cloning, or illegal telemarketing campaigns.
  • Indemnification: You agree to fully indemnify, defend, and hold harmless Smartline Automation LLC against any regulatory fines, lawsuits, statutory penalties, or claims resulting from your failure to comply with telecommunications, 911 emergency disclaimers, or state wiretapping privacy laws.

5. ARTIFICIAL INTELLIGENCE LIMITATIONS

AI-generated voice responses, message summaries, and automated appointments are generated probabilistically ("AS-IS"). They do not replace human review and business oversight. Smartline Automation LLC does not guarantee 100% accuracy or error-free execution and is not liable for missed business leads, incorrect bookings scheduled by the AI, or processing latency. Outputs must not be used for high-risk legal, medical, or credit decision-making without human oversight.

6. SUBSCRIPTIONS, BILLING, MINUTES CALCULATION & PAYMENT PROCESSING

  • Billing Cycles & Metering: Access is billed on a recurring 30-day subscription basis. Call usage minutes are calculated in 60-second increments (rounded up to the next full minute) starting from when a call connects to the AI Receptionist until termination.
  • Automatic Tier Upgrades & Overages: If your minute or SMS volume exceeds your subscribed plan limits during a billing cycle, talk2me reserves the right to assess overage fees or automatically transition your account to the corresponding subscription tier for subsequent cycles.
  • Third-Party Payment Processors: Smartline Automation LLC utilizes third-party payment processors (such as Stripe) to process payment credentials. Smartline Automation LLC is not a bank or payment processor and does not store full payment card details directly.
  • Non-Refundability: Subscriptions renew automatically every 30 days unless canceled prior to the billing renewal date via your account dashboard. All fees paid are non-refundable except where required by law.

7. INTELLECTUAL PROPERTY & USER DATA

Smartline Automation LLC retains all rights, titles, and interests in the platform, AI models, custom code, branding, and workflows. Your call logs, contact lists, and transcript data are handled in accordance with our Privacy Policy.

8. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTLINE AUTOMATION LLC DISCLAIMS ALL WARRANTIES AND SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR $100.00 USD, WHICHEVER IS LESS.

9. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Florida, USA. Any legal dispute shall be resolved through binding individual arbitration in Pinellas County, Florida, with an express waiver of class action lawsuits.
